unresolved references for tulip driver

I recently purchased SB104 Network Starter Kit. The diskette indicates =
that I have Version 4.01 of the Software, which appears to be the latest =
drivers available from Netgear. Their instructions says to use their =
driver rather than the driver that normally comes with RedHat. =20

Everything works fine with Windows 98. On my Linux system, the tulip.c =
driver that is provided on the Netgear diskette for the FA310TX ethernet =
card compiles, but the /sbin/depmod -a command results in unresolved =
references.  I have the kernel header files installed. Do I need to =
install the kernel source files to correct the problem?  The =
instructions says to use  -I/usr/src/linux/net/inet parameter on the gcc =
command.  I currently do not have any directory path by this name.   =
What needs to be installed in order for this directory exist?  I assume =
the non-existance of this directory is causing the unresolved =
references.

This is the first time I have ever tried using Linux.  So, any help you =
can provide is greatly appreciated. Can you help?=20
